Terms of Service

To access the Platform's core features, you must create an account by providing a valid email address, a verified mobile number, and such other information as ShowUp may require from time to time. You represent and warrant that all registration information you provide is truthful, accurate, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to: (a) keep your password secure and not share it with any third party; (b) notify ShowUp immediately upon becoming aware of any unauthorized use of your account; and (c) ensure that you log out of your account at the end of each session on shared devices.

ShowUp shall not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain adequate security of your credentials.

Each individual may maintain only one active account. Creating multiple accounts to circumvent Platform rules, suspensions, or restrictions is a material breach of these Terms and grounds for permanent account termination.

ShowUp does not perform Know Your Customer (KYC) checks or identity verification of any User. It is the sole responsibility of Hosts to verify the identity and eligibility of Guests attending their Events, and the sole responsibility of Guests to satisfy themselves as to the legitimacy of Events and Hosts before paying an Entry Fee. ShowUp expressly disclaims all liability arising from any failure to verify identities, fraudulent misrepresentation, or harm resulting from unverified Users interacting through the Platform.

ShowUp provides a technology platform that enables Hosts to create commitment-backed Events and Guests to participate in those Events. ShowUp acts solely as a technology intermediary and payment processor. ShowUp does not create, organize, or operate Events, and is not responsible for the quality, safety, legality, or occurrence of any Event listed on the Platform.

The ShowUp commitment mechanism - whereby Entry Fees paid by No-Shows are redistributed among verified Attendees - constitutes a conditional refund and reward arrangement, not a game of chance, wager, lottery, or any form of gambling. Attendance outcomes are entirely within each User's control and are based on verified physical presence, not chance or speculation. Users acknowledge this characterization and agree not to represent or use ShowUp's mechanisms as a gambling service.

ShowUp does not guarantee uninterrupted or error-free operation of the Platform. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond ShowUp's control. ShowUp shall not be liable for any loss caused by Platform downtime, and shall endeavour to provide advance notice of scheduled maintenance where reasonably practicable.

ShowUp reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice. ShowUp shall have no liability to you or any third party for any such modification, suspension, or discontinuation.

As a Host, you may create Events subject to these Terms. When creating an Event, you must provide accurate and complete information, including:

• Event title, description, date, time, and location;
• Maximum number of Guests;
• Entry Fee amount and currency;
• Whether the Event is public or invite-only;
• Any eligibility requirements or restrictions applicable to Guests.

You represent and warrant that all Event information is truthful, not misleading, and does not infringe any third-party rights.

As a Host, you agree to:

1. Actually hold the Event as described, at the time and location specified;
2. Ensure the Event complies with all applicable laws and regulations, including permits, noise ordinances, health and safety requirements, and any venue-specific rules;
3. Not discriminate against Guests on the basis of race, religion, sex, gender, disability, national origin, or any other protected characteristic under applicable law;
4. Provide the QR check-in mechanism to facilitate Attendance Verification for all Guests;
5. Trigger attendance marking within the check-in window as defined in Section 7.3;
6. Not collect any additional fees, deposits, or charges from Guests outside of the Platform;
7. Maintain accurate records of Event attendees and cooperate with ShowUp in any dispute investigation.

Hosts may cancel an Event at any time prior to its scheduled start. Upon cancellation:

1. All Guests will receive a full refund of their Entry Fee, net of any payment processing fees already incurred;
2. ShowUp will not charge a Platform Fee;
3. Repeated cancellations (three or more within a 90-day period) may result in restriction or termination of your Host privileges.

Upon successful completion of an Event, a Host who is verified as an Attendee shall receive:

1. Their own Entry Fee refunded; and
2. An equal share of the Redistribution Payout from the No-Show pool.

A Host who fails to be verified as an Attendee through the AVS (e.g., due to GPS failure or failure to use the system) will not receive a Redistribution Payout share but will receive their Entry Fee back, subject to the refund provisions of Section 9.

Hosts are solely responsible and liable for their Events. ShowUp is not an organizer, co-organizer, or operator of any Event. As a Host, you agree to indemnify and hold ShowUp harmless from any claims, damages, or liabilities arising from your Event, including but not limited to personal injury, property damage, regulatory violations, or Guest disputes.

Guests may browse and join Events by paying the applicable Entry Fee through the Platform. Payment of the Entry Fee does not guarantee admission to a sold-out or invite-only Event - Guest access is subject to Host approval where applicable.

By paying an Entry Fee, you expressly acknowledge and agree that:

1. Entry Fees are held in the Commitment Pool and are subject to redistribution under the no-show mechanism described in Section 8.3;
2. If you do not attend the Event and your attendance is not verified, your Entry Fee shall be redistributed to verified Attendees and you shall have no further claim to that amount;
3. You have voluntarily agreed to this commitment arrangement as a condition of participation.

As a Guest, you agree to:

1. Attend the Event at the time and location specified, having paid the Entry Fee;
2. Enable location services on your device during the check-in window to facilitate GPS verification;
3. Scan the Host's QR code within the check-in window to confirm attendance;
4. Comply with all Event rules, venue policies, and applicable laws;
5. Treat Hosts and other Guests with respect;
6. Not transfer, sell, or assign your Event access to any third party.

Attendance is confirmed exclusively through the ShowUp Attendance Verification System, which requires both:

1. QR Scan - scanning the Host-provided unique event QR code with the ShowUp application; and
2. GPS Proximity - your device's GPS location must be within the defined geofenced radius of the Event location at the time of scanning.

The check-in window opens 30 minutes before the scheduled Event start time and closes 60 minutes after the scheduled Event start time, unless the Host specifies otherwise at the time of Event creation.

ShowUp's determination of attendance status through the AVS is final and binding, subject only to the dispute process described in Section 15. ShowUp shall not be required to override AVS determinations based on witness statements alone.

Guests who have paid an Entry Fee gain access to the Event's group communication channel. This access is revoked upon a refund being issued. Users of the group channel must comply with ShowUp's Community Guidelines, which are incorporated herein by reference. ShowUp reserves the right to remove any User from a group channel for violation of these Terms or Community Guidelines without refund.

Hosts set Entry Fees in supported currencies. Entry Fees must be a minimum of ₹50 (or equivalent) and a maximum of ₹1,00,000 (or equivalent) per Guest, unless otherwise approved by ShowUp in writing. ShowUp reserves the right to modify these limits at any time.

All payments on the Platform are processed by Razorpay pursuant to Razorpay's own Terms of Service and Privacy Policy. By using the payment features of the Platform, you agree to Razorpay's terms. ShowUp does not store full card numbers or sensitive financial credentials.

When a Guest joins an Event, the following fees are charged in addition to the Entry Fee at the time of booking:

1. ShowUp Platform Fee - 10% of the Entry Fee, charged by Arctova Technologies for use of the Platform;
2. Payment Processing Fee - 2% of the Entry Fee, charged by Razorpay for payment processing.

By paying an Entry Fee, you authorise ShowUp and Razorpay to hold and subsequently disburse the Commitment Pool funds in accordance with these Terms. Joining fees (platform and payment processing) are non-refundable under any circumstances, including Event cancellation by the Host.

Following the close of the check-in window after an Event:

1. ShowUp shall tally verified Attendees and confirmed No-Shows;
2. The No-Show Entry Fees (base amounts only) form the Redistribution Pool;
3. ShowUp retains 3% of the Redistribution Pool as a redistribution service fee;
4. The remaining 97% of the Redistribution Pool is divided equally among all verified Attendees, including the Host, and credited to their in-app ShowUp Credits balance;
5. Each verified Attendee's own Entry Fee is also returned as ShowUp Credits.

ShowUp reserves the right to withhold redistribution Credits pending investigation of a dispute, fraud allegation, or compliance review. In the event that fewer than two Guests attend an Event, ShowUp may, at its sole discretion, process full refunds and cancel redistribution.

ShowUp may change any fee with 30 days' advance notice to registered Users. Fees applicable to a specific Event are fixed at the time the Event is created and will not be retroactively increased.

Entry Fees are displayed and charged in the currency selected by the Host. Users are responsible for any currency conversion fees charged by their financial institution. ShowUp shall not be liable for currency fluctuations.

Users are solely responsible for determining and fulfilling any tax obligations arising from their use of the Platform, including income tax on Redistribution Payouts received. ShowUp may issue tax documents as required by applicable law. ShowUp reserves the right to withhold applicable taxes at source where required by law.

To receive Redistribution Payouts, you must have a valid, verified payment method on file. ShowUp will not be liable for failed payouts due to incorrect banking details, expired cards, or payment method issues on your end. Unclaimed payouts may be subject to forfeiture after 180 days of inactivity.

All rights, title, and interest in and to the Platform, including its software, design, trademarks, trade names, logos, content, and technology - including the ShowUp name, the ShowUp commitment mechanism, and the Attendance Verification System - are owned by ShowUp or its licensors. These Terms do not grant you any ownership right or licence in any ShowUp intellectual property.

By submitting User Content to the Platform (including Event descriptions, images, and communications), you grant ShowUp a non-exclusive, royalty-free, worldwide, sublicensable licence to use, reproduce, display, and distribute such content for the purposes of operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to grant this licence and that your User Content does not infringe any third-party intellectual property rights.

If you provide ShowUp with any suggestions, feedback, or ideas regarding the Platform, you grant ShowUp an irrevocable, perpetual, royalty-free right to use such feedback without restriction or compensation to you.

Your use of the Platform is governed by ShowUp's Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your personal data as described in the Privacy Policy.

The Attendance Verification System requires access to your device's GPS location. By using the AVS, you expressly consent to ShowUp collecting, processing, and storing your precise GPS coordinates at the time of check-in for the sole purpose of verifying attendance. Location data collected during check-in is:

1. Stored securely and associated with your attendance record for the specific Event;
2. Retained for a period of 24 months for dispute resolution purposes;
3. Not sold to third parties;
4. Accessible to ShowUp for fraud investigation and legal compliance purposes.

ShowUp does not continuously track your location. Location access is requested only during the check-in window of an Event you have registered for.

ShowUp does not store full payment card details. Payment information is processed and stored by Razorpay in accordance with PCI DSS standards. ShowUp retains transaction records, payout records, and associated metadata for compliance and dispute resolution purposes.

By registering on the Platform, you consent to receiving transactional communications (e.g., booking confirmations, payout notifications) via email and SMS. Marketing communications are subject to separate opt-in and can be withdrawn at any time through your account settings.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SHOWUP DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

ShowUp makes no representation or warranty regarding the quality, safety, accuracy, legality, or occurrence of any Event listed on the Platform. ShowUp is not responsible for the acts or omissions of any Host or Guest, including but not limited to the failure of a Host to conduct an Event as advertised.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOWUP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
2. LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
3. ANY LOSS OR DAMAGE ARISING FROM YOUR ATTENDANCE AT, OR FAILURE TO ATTEND, AN EVENT;
4. ANY DAMAGE TO PROPERTY OR PERSONAL INJURY OCCURRING AT AN EVENT;
5. ANY INACCURACY OR OMISSION IN ANY EVENT LISTING.

IN NO EVENT SHALL SHOWUP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF PLATFORM FEES PAID BY YOU TO SHOWUP IN THE SIX MONTHS PRECEDING THE CLAIM; OR (B) ₹5,000.

ShowUp shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, labour disputes, power failures, or internet outages.

Before initiating arbitration, you agree to first contact ShowUp at hello@arctova.tech and attempt to resolve the dispute informally. ShowUp will have 30 days from receipt of your written notice to respond and attempt resolution. If the dispute is not resolved within that period, either party may initiate arbitration.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Hyderabad, India. The language of arbitration shall be English. The arbitration shall be conducted before a single arbitrator.

YOU AND SHOWUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class action.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, and either party may bring a claim in small claims court for disputes within that court's jurisdiction.

For disputes relating solely to AVS attendance determinations or payout calculations, Users must first submit a request for internal review via the Platform's Support channel within 72 hours of the relevant Event. ShowUp's Support team will review and respond within 10 business days. Internal review decisions do not preclude subsequent arbitration.

You may terminate your account at any time by submitting a deletion request through account settings or by contacting hello@arctova.tech. Termination does not extinguish obligations arising from Events you have registered for or Committed Pools in which you participate. Any pending Redistribution Payouts owed to you at the time of termination will be processed in accordance with these Terms.

ShowUp may suspend or permanently terminate your account, with or without notice, for:

1. Material or repeated breach of these Terms;
2. Fraudulent, illegal, or harmful conduct on the Platform;
3. Failure to pay any amounts owed to ShowUp;
4. Actions that damage ShowUp's reputation or the integrity of the Platform;
5. Any other reason ShowUp deems sufficient in its sole discretion.

Upon termination: (a) your right to access the Platform ceases immediately; (b) all pending Events you have created are cancelled and Guests refunded; (c) pending payouts owed to you may be withheld if your termination was due to fraud or breach. Sections 11, 13, 14, 15, 16, and 19 of these Terms survive termination.

These Terms, together with the Privacy Policy and any supplemental policies incorporated herein, constitute the entire agreement between you and ShowUp with respect to the Platform and supersede all prior or contemporaneous agreements, representations, and understandings.

If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

ShowUp's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of ShowUp.

You may not assign or transfer your rights or obligations under these Terms without ShowUp's prior written consent. ShowUp may freely assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets, with notice to registered Users.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and ShowUp. You agree you have no authority to bind ShowUp in any way.

These Terms are drafted in English. In the event of any inconsistency between an English version and a translated version, the English version shall prevail.
